Terms of Service

These Terms of Service ("Terms") govern your access to and use of FinOS Cloud, provided by Brentsoft Technologies ("Brentsoft", "we", "us"). By creating an account or using the service, you agree to these Terms. If you're using FinOS Cloud on behalf of an organisation, you confirm you have the authority to bind that organisation to these Terms.

1. The Service

FinOS Cloud is a double-entry accounting, invoicing, payroll, and inventory management platform. FinOS Cloud is currently in active development and beta release — features, pricing, and functionality may change as the product evolves. We'll do our best to communicate significant changes in advance.

2. Account Registration and Security

You must provide accurate information when registering and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@finos.live if you suspect unauthorised access.

3. Subscription Plans and Billing

FinOS Cloud offers Free, Professional, Enterprise, and Custom plans, each with different features and limits as described on our pricing page. Paid plans are billed monthly or yearly in advance in Nigerian naira (NGN) via Paystack. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You can cancel or downgrade at any time from Settings — a cancellation takes effect at the end of your current billing period, and no partial-period refund is issued for the time already paid for. Prices are subject to change with reasonable advance notice.

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or to process fraudulent transactions.
• Attempt to gain unauthorised access to any part of the service, or to another organisation's data.
• Reverse-engineer, resell, or white-label the service without written permission.
• Upload malicious code or interfere with the service's normal operation.

5. Your Data

You and your organisation retain full ownership of the business data you enter into FinOS Cloud (customers, invoices, financial records, employee data, and so on). We do not claim ownership of your data and will not use it for any purpose other than providing and improving the service, as described in our Privacy Policy.

6. Payroll and Tax Compliance Disclaimer

FinOS Cloud is an administrative, payroll-calculation, and accounting record-keeping tool. Payroll outputs and statutory schedules are preparation records based on the data and rules configured in the service; they are not tax, legal, or accounting advice and must be reviewed by your qualified advisers. FinOS does not submit statutory returns, remit taxes or pension contributions, hold payroll funds, or initiate salary transfers. The employing organisation is responsible for checking payroll inputs and calculations, authorising and paying its workforce, and meeting its filing and remittance obligations. If you export a payment schedule, you must review it and submit it through your own authorised banking channel. Bank portal formats and requirements vary.

7. Service Availability

We aim to keep FinOS Cloud available and reliable but do not guarantee uninterrupted access. Scheduled maintenance, updates, or circumstances outside our control may occasionally affect availability. As a platform in active beta development, occasional issues are more likely than in a fully mature product — we appreciate your patience and encourage you to report anything that doesn't work as expected.

8. Limitation of Liability

To the fullest extent permitted by law, Brentsoft Technologies shall not be liable for any indirect, incidental, or consequential damages arising from your use of FinOS Cloud, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from these Terms or the service is limited to the amount you paid us in the twelve months preceding the claim.

9. Intellectual Property

FinOS Cloud, its design, branding, and underlying software are the property of Brentsoft Technologies. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what's needed to use the service as intended.

10. Termination

You may stop using FinOS Cloud and close your account at any time. We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or where required by law. Where reasonably possible, we'll provide notice before termination.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice. Continued use of FinOS Cloud after a change takes effect constitutes acceptance of the updated Terms.
